Job Overview:
We are seeking a highly skilled and experienced Company Secretary to join our team. The ideal candidate will be responsible for ensuring the company's compliance function as per statutory and regulatory requirements and providing guidance to the board of directors on compliance matters.
The company secretary will also work with the Senior Legal Counsel on establishing and maintaining organization secretarial practice standards, process, templates and execute inter department processes, implement improvements, and provide training.
The candidate will be managing group entities.Â
Responsibilities:
- Provide advice to the Board of Directors and other senior personnel's on Company law and corporate governance matters and ensure compliance with relevant laws, legislation, regulations, and corporate governance codes.
- Organize and facilitate Board Meetings, Committee Meetings and General Meetings, ensuring adherence to statutory requirements and best practices.
- Prepare notice, agendas, collate board packs, record accurate minutes of the meetings of discussions and decisions held at the meeting.
- Prepare and maintain all statutory registers and records.
- Ensure proper disclosure of information to Shareholders, Regulators, and other stakeholders in accordance with legal requirements and best practices.Â
- Ensure timely filing of statutory forms, returns, applications, intimations and other documents with ROC, RBI, etc. Keep abreast of the latest regulatory developments and advise the Board on its implications on the Company.
- Liaise with external Legal Advisors, Consultants, Auditors, ROC, RBI, RTA, and other internal / external stakeholders, as required.
- Manage and handle end-to-end secretarial function including advising on all secretarial matters, governance, and compliances under Companies Act, 2013 and Secretarial Standards.Â
- Supporting internal and statutory audit, administering, and resolving secretarial issues, and providing secretarial advice on day-to-day business operations.
Requirements/Preferences:
- Candidate must be a qualified Company Secretary having ICSI membership.
- Candidate must have a post qualification experience of at least 5+ years.
- In-depth knowledge of Company Law, Limited Liability Partnership, Secretarial Standards, and other relevant laws.
- Excellent communication and interpersonal skills, with the ability to interact effectively with stakeholders at all levels.
- Ability to work independently and collaboratively as part of a team.
- Discretion and integrity when dealing with sensitive information.
- Willingness to stay updated on changes in legislation and best practices in corporate governance.
