Ensuring 100% timely fulfillment of statutory compliance obligation (ROC/RBI/SEBI/Stock Exchange).
Preparing draft replies, compiling data, liaise with RTA for promptly addressing queries raised by statutory authorities like ROC, RBI, SEBI, Stock Exchange etc.
Implementation of best governance practices as per ESG guidelines.
Ensure material company information to the stock exchanges and public within regulated time-line.
Support prompt implementation of compliance process changes (due to regulatory changes or continuous improvement perspective).
Ensure accurate updation of required statutory records, minutes and Documentation.
Support timely preparation of Secretarial MIS and quarterly performance review pack.
Co-ordination with Statutory and Internal Auditors for timely completion of Secretarial and Statutory Audits.
Ensure prompt compilation and execution of documents for special assignments e.g. merger and acquisitions, takeovers etc.
Prompt execution of security and other documents in co-ordination with peers of the finance, banking and other documents.
Ensure effective meeting management (e.g., Board, general body & other shareholders' meetings etc.) and filing of required information.
Ensure custody of required records and documentation.
Conduct weekly performance review of compliance and special assignment management team.
Act as secretarial interface / point of contact for BUs as required
Qualifications
Company Secretary, LLB (Preferable)
10-12 years of experience in Secretarial function in a large Indian listed company of repute.
