Job Description And Key Responsibilities
- Legal Compliance: - Ensure compliance with relevant statutory and regulatory requirements - Draft, review and update legal documents and contracts - Ensure adherence to Group level legal policies and practices 2. Corporate Governance: - Assist in the preparation of board meetings and general meetings documents. - Organizing and preparing agendas & minutes and papers for Board, Committee and General Meetings, AGMs; - Liasoning with investors/shareholders, directors, and regulators - Drafting resolutions, preparing directors' report, lodging required forms and annual returns with ROC; - Maintain statutory books and records, registering of contracts, ensuring accuracy and compliance. - Provide support in the implementation of Group level corporate governance policies. 3. Contract Management: - Negotiate, draft, redline and review a variety of contracts, agreements, and legal documents. - Advise on contract interpretation, risks, and potential legal issues. - Provide local laws implementation support for execution of Inter company contracts within the Organisational Group 4. Risk Management: - Identify legal risks and provide value in appropriate mitigation strategies. - Conduct legal research to support business decisions and risk assessments. 5. Advisory: - Advisory on Company Secretarial and Company law matters - Provide legal guidance to various departments on day-to-day operations in accordance to organisational policies. - Advise on legal implications of business initiatives and strategies, as may be required or necessitated from time to time through senior management. 6. Dispute Resolution: - Manage and coordinate dispute resolution processes. - Collaborate with external legal counsel when necessary. 7. Collaboration: - Work closely with cross-functional teams to ensure legal considerations are integrated into business decisions. - Foster strong relationships with external legal partners - Dealing with correspondence, collating information and writing reports. - Monitoring changes in relevant legislation and the regulatory environment and taking appropriate action; - Liaising with external regulators and advisers, such as lawyers and auditors; - Developing and overseeing the systems that ensure the company complies with all applicable codes, in addition to its legal and statutory requirements; - Filing of FCGPR form with RBI, if required; - Ensuring overall compliance of the Company; - Preparation and vetting of Agreements. - Initiate steps to ensure successful implementation of the Regulatory Compliance and Latest laws SUMMARY: Seeking an appropriately skilled and motivated individual to join our team as a Company Secretary in Corporate Legal Function. The successful candidate will play a key role in ensuring legal compliance, providing expert legal advice, and supporting the overall governance of the organisation. QUALIFICATIONS: A. Mandatory Requirement: - Membership from ICSI (Institute of Companies Secretaries of India) having membership number B. Preferred Requirement: - Bachelor's degree in law will be preferred - Additional qualifications in corporate legal drafting and documentation is a plus. - Proficient in MS Office programmes and tools EXPERIENCE AND EXPECTATIONS: - Tenure: 2-4 years - Proven experience as a Company Secretary or in company secretarial matters and legal counsel in a reputable organization. - In-depth knowledge of corporate law, contract law, and regulatory compliance. - Strong analytical and problem-solving skills. - Excellent communication and interpersonal abilities. - Ability to work independently and collaboratively in a fast-paced environment
