Job Description of Company Secretary - Assistant Manager/Executive Position -

Good knowledge of Companies Act, 2013 and the Rules thereon. Convening Board Meetings including preparation of notice, agenda and minutes for Board Meetings Convening Shareholders Meeting for Equity and Preference Shareholders including preparation of notice and minutes for the shareholders meetings. Preparation of Directors Report, Annual Report, filing of AOC 4 (including XBRL Filing) End to end issuance of equity shares, preference shares and debentures on preferential basis through private placement including all regulatory filings. All MCA and ROC filings both event based and periodical compliances Filing of Form FC-GPR, FC-TRS including downstream reporting and FLA reporting under FEMA. Coordination with RTA, NSDL and CDSL for various corporate action including payment of stamp duty on transactions Incorporation of private limited companies and managing end to end compliances independently. Managing the grants and allotments under the ESOP Scheme of private limited companies. Knowledge of transfer and transmission of shares including splitting of shares. Maintenance of proper record of minutes and other regulatory filings. Maintenance and updation of statutory registers.
