Location: Ahmedabad, Gujarat
Duration: 21 Months
Key Responsibilities:
1. Legal Compliance
- Assist in ensuring the company's compliance with RBI, SEBI, Company laws and all other relevant Laws, regulations, and guidelines.
- Conduct legal research and analysis to support compliance initiatives.
2. Corporate Governance:
- Contribute to the development and implementation of corporate governance policies.
- Monitor adherence to governance principles and recommend improvements.
3. Documentation:
- Assist in the preparation and maintenance of statutory records and registers.
- Assist in drafting legal documents such as resolutions, agreements, notices, and contracts etc
4. Board and Shareholder Meetings:
- Assist in the preparation for board meetings and general meetings of shareholders. This could include preparing agendas, drafting minutes, and ensuring compliance with meeting procedures and legal requirements.
5. Secretarial Work:
- Handle routine secretarial tasks, including filing of necessary forms and documents with regulatory authorities.
- Assist in the preparation of the Annual Report and other statutory reports.
6. Assisting in Regulatory Filings:
- Assist in the preparation and filing of various regulatory documents with government authorities, such as annual returns, incorporation documents, and other filings required under RBI, company law, SEBI and other regulators.
7. Training and Development:
- Participate in training programs to enhance knowledge of corporate laws and governance.
- Stay updated on changes in regulatory requirements affecting the financial sector.
8. Collaboration:
- Collaborate with internal departments to ensure smooth flow of information.
- Liaise with external consultants and legal advisors as required.
Overall, the role of an articleship trainee for a Company Secretary is to gain practical experience and develop the skills necessary to become a competent and effective Company Secretary. They play a crucial role in supporting the corporate secretarial function and ensuring the company's compliance with legal and regulatory requirements.
Qualifications and Requirements:
- Cleared Professional / Currently enrolled in the professional study of Company Secretary.
- Completion proof of Executive Development Program (EDP).
- Strong analytical and problem-solving skills.
- Excellent written and verbal communication skills.
- Ability to work in a dynamic and fast-paced environment.
- Attention to detail and a commitment to accuracy.
