Job Requirements and Job Description :
- Minimum 3-5 years of experience in Company Secretarial Functions, Finance Functions & Legal Affairs.
- Advisor to the Board and Stakeholders on various Legal and Secretarial Compliances.
- Coordinating with the Board and Stakeholder including Strategic & Institutional Investors and Convening of Board/ Committee/General Meetings.
- To ensured due compliances are fulfilled related to provisions of Companies Act along with Secretarial & Legal Compliances.
- Maintenance of various registers and records of the Company along with drafting, reviewing and negotiations of various contracts and business negotiations.
- To advice the Board on the transactions relating to FDI/ ODI/ Exports and Imports and assist on all the financial matters to the CFO, includes Service Agreements/ Distribution Agreements/ License Agreements/ Vendor Agreements/ NDA’s/ Confidentiality Agreements/ Employment/ Administration related Agreements/ Lease Agreements/Litigations
- To liaison with external consultants including Counsels, Valuers, Auditors, Secretarial Auditors. Should assist CFO in finance regulatory matters and day-to-day finance functions.
- To liaison with the Management/ Finance dept. in finalization of Accounts of the Company.
- Will be responsible for all regulatory compliance, and should act as an advisor to the Chief Financial Officer, Chief Executive Officer and the Board of Directors on best practices in Corporate Governance.
