Key Responsibilities:

Agreements Drafting and Review:

Draft, review, and negotiate various types of corporate agreements, including but not limited to contracts, MOUs, NDAs, and vendor agreements.

Ensure that all agreements comply with legal requirements and company policies.

Advise internal stakeholders on legal implications and potential risks associated with agreements.

Notice Handling:

Handle all legal notices, including litigation notices, regulatory notifications, and compliance-related correspondence.

Develop strategies for responding to notices and communicate with external parties or authorities as necessary.

Maintain a record of all notices and responses for future reference.

Mergers and Acquisitions (M&A):

Assist in the coordination of M&A transactions, including due diligence, document preparation, andpost-merger integration efforts.

Conduct legal research to support M&A activities and ensure compliance with applicable laws and regulations.

Collaborate with cross-functional teams to facilitate smooth M&A processes.

Due Diligence:

Perform due diligence reviews for potential business transactions, including mergers, acquisitions, and partnerships.

Analyze and report on legal risks and issues identified during due diligence processes.

Work closely with external counsel and internal teams to resolve any legal concerns.

Legal Compliance:

Stay updated on changes in relevant laws, regulations, and industry best practices.

Provide guidance to the company on compliance matters, including data protection, corporate governance, and regulatory requirements.

Assist in developing and implementing compliance policies and training programs.

Legal Documentation:

Maintain accurate and organized legal documentation, contracts, and records.

Create templates and standardized processes for legal documents to improve efficiency.

Collaborate with the legal team to ensure the company's legal database is up-to-date.
