For further details, please visit Job pre-requisites 1. Educational Qualification – LLB / University Degree in Law. 2. Total Experience – Minimum 2 to 3 years of experience in Private equity. 3. Should have worked in corporate or legal firm specializing in private equity transactions for at least 2-3 years. Job description · Counseling the group about private investment transactions across industries; · Providing specialist legal advice on Private equity fund administration; · Identifying legal and reputational risks in the on-boarding of Private Equity and ensuring that such risks are disclosed and mitigated in a suitable manner; · Drafting /negotiation/vetting all fund related and company agreements, MOUs and other legal documents. Guiding management on secretarial and legal issues; · Ensuring all Statutory Compliance, Legal Compliance, Corporate Governance Compliance and other related compliance; · Review and analyze laws and regulations to determine their impact on the service offer to Private Equity and Real Estate investment schemes and evaluate their potential for strategic opportunities. · Maintaining Statutory Registers and other Company records; · Filling all types of legal forms; · Handling commercial disputes; · Mining lease matters; · Liaising with ROC, Consultants and other external agencies; · Documenting board minutes (Should be aware of compliance of companies Act, 1956 and allied Laws and Conduction of Board Meeting, Committee, General Meeting); Advise the group on all aspects of private investments, including structuring the transaction to mitigate legal and financial risks, performing legal due diligence, and drafting terms sheets and definitive documents. Brainstorm the legal aspects of the investment structure to maximize tax efficiency. Interpreting due diligence reports and liaising with external counsel to understand material legal risks. Work with external counsel on various transaction related legal works. Undertaking any tasks to ensure provision of legal support to the business and its various departments. Drafting, reviewing, and developing standard private equity transaction documents in collaboration with the investment team to translate the commercial context into legally binding definitive documents. Advising on the interpretation and applicability of laws and regulations, monitoring any amendments to them, and updating the business on the implications of such and ensuring that the business complies with applicable legislation across multiple jurisdictions. Such other tasks as required by the Manager. Key Skills 1. Technical skills a. Should have thorough knowledge of the Indian Foreign Exchange Management Act, the Securities and Exchange Board of India Guidelines, the Indian Companies Act, the Shops and Establishments Act. b. Should have basic knowledge of PowerPoint, Word and Excel tools. 2. Communication skills a. Should have fluency in English as the job would involve frequent interactions with foreigners. b. Should possess exceptional writing skills and concern for detail. 3. Personal traits a. Should be willing to work for extended hours and be able to work under pressure and time constraints. b. Should be willing to work both independently and as part of a team. c. Should be open to travel at short notice. d. Should be forthcoming to work on ad hoc projects as assigned by the Manager. e.
