Job description

Responsibilities:

  1. Corporate Governance: Ensure compliance with legal, regulatory, and statutory requirements related to corporate governance, including company law, listing regulations, and corporate governance codes.
  2. Board Support: Provide support to the board of directors and board committees, including organizing and facilitating board meetings, preparing agendas and meeting materials, and recording minutes of meetings.
  3. Company Administration: Manage company administration tasks, such as maintaining statutory registers, filing annual returns, updating corporate records, and liaising with regulatory authorities.
  4. Legal Compliance: Monitor changes in laws, regulations, and industry standards affecting the company's operations and ensure compliance with applicable legal and regulatory requirements.
  5. Shareholder Relations: Manage communications with shareholders, including issuing notices of meetings, handling shareholder inquiries, and facilitating shareholder voting and resolutions.
  6. Corporate Secretarial Duties: Execute corporate secretarial duties, including drafting and filing legal documents, such as resolutions, agreements, and regulatory filings, with relevant authorities.
  7. Corporate Restructuring: Assist in corporate restructuring activities, such as mergers, acquisitions, divestitures, and capital restructuring, ensuring compliance with legal and regulatory requirements.
  8. Risk Management: Identify, assess, and mitigate corporate risks related to compliance, governance, and legal matters, implementing appropriate controls and procedures to safeguard the company's interests.
  9. Ethical Standards: Uphold high ethical standards and professional integrity, maintaining confidentiality and impartiality in all corporate matters.

Qualifications:

  1. Professional Certification: Hold a professional qualification as a Company Secretary or equivalent designation from a recognized professional body, demonstrating expertise in corporate governance and company law.
  2. Education: Possess a bachelor's degree in law, business administration, commerce, or a related field, with coursework in corporate law, governance, and compliance.
  3. Experience: Typically requires several years of relevant work experience in corporate secretarial practice, legal compliance, or company administration, preferably in a corporate environment or professional services firm.
  4. Legal Knowledge: Comprehensive understanding of company law, corporate governance principles, securities regulations, and other relevant legal frameworks governing corporate entities.
  5. Communication Skills: Excellent verbal and written communication skills, with the ability to communicate effectively with board members, senior executives, regulators, and external stakeholders.
  6. Organizational Skills: Strong organizational and time management skills, with the ability to prioritize tasks, manage multiple projects simultaneously, and meet deadlines in a fast-paced environment.
  7. Attention to Detail: Meticulous attention to detail and accuracy in record-keeping, document preparation, and compliance reporting.
  8. Analytical Abilities: Strong analytical and problem-solving skills, with the ability to interpret complex legal and regulatory requirements, analyze their impact on the company, and develop practical solutions.
  9. Teamwork and Collaboration: Ability to work collaboratively with cross-functional teams, including legal, finance, compliance, and operations, to achieve corporate objectives and mitigate risks.
