Job Description, Responsibilities & Expectations:
Compliance Management
Set in place necessary checklists in relation to various statutory obligations (excluding direct & indirect taxes) affecting the Company.
Ensure compliance by Regions & Corporate of all applicable Statutory and Regulatory obligations as per the checklists.
Establish function wise 'Compliance Reporting System' in a specified Compliance Report Format relating to all legal / statutory obligations and conceptualize monthly reporting to the Senior Management.
Review compliance reports and initiate corrective action periodically.
Conceptualize Compliance mechanism and manage legal process effectively.
Legal Audit
Establish and effectively implement a Legal Audit/Review system in Regions & Corporate to ensure compliance of legal/statutory obligations
to asses various approvals, licences including Electricity, Pollution etc and validity thereof
to ensure necessary legal agreements are in place in respect to each operation in the Circles and Corporate, wherever it is required and such agreements are properly executed
to take stock of various litigation affecting the Company in general and Circle in specific and manage the same
to take stock of various show cause notices, legal notices, customer complaints and all other legal issues and to provide legal support to address them suitably
to generally review any potential legal threats and areas of concern, ensure compliance issues affecting the Company and address them appropriately.
Litigation Management
Manage / advise on court cases, consumer litigation, legal matters, and all other legal issues in operational matters across Regions and Corporate, with reference to customers, suppliers, and stakeholders etc.
Manage litigation in relation to telecom regulations, DOT, TRAI, the telecom operators and industry related litigation / legal issues.
Manage legal / showcause / demand / misc notices and departmental actions - Government (State/Central), DoT, TRAI, Statutory Bodies, and any and all other parties.
Vetting of court related pleadings such as, petitions/ counters/ affidavits/written statements etc.
Develop and maintain relationships with Legal Counsels / Solicitors / Consultants.
Independent handling of appearance before government bodies, local authorities
Contract Management / Legal Documentation
Ensure execution of legal agreements/documents in the standardized formats, with specific reference to major supply and service contracts, marketing agreements for operators/ franchises/ distributors, leases, and leave and licences, etc.
Review such agreements periodically to eliminate redundancies and introduce necessary provisions as may be required from time to time.
Support and assist Regions & Corporate in drafting, reviewing and finalising the documentation / contracts / agreements / MOUs / NDAs with:
Generally, to do all other drafting, vetting of various miscellaneous legal agreements / documents required in Regions & Corporate and Circles, from time to time - for operations (Employee / Supplier / Customer / Dealer / Property matters / Operators / Service Providers, etc) and with respect to Government Agencies, and all other external agencies etc.
Financing Documentation
Drafting, Vetting and Finalization of bridge / short-term loan / other facilities and long term facility and security documentation with various banks and financial institutions, for the Company.
Legal Support
Management of IPRs
Initiate steps to protect trademark and other intellectual property issues and protect TATA brand image and values.
Management of various trademark and other intellectual properties owned by /licensed to the company.
Legal Advice
Provide legal advice/solution/support for the Regions & Corporate and Circles in all legal related issues in their operation and to the Senior Management on governing legislation, statues to protect the interest of the Company.
Establish and effectively operate the system of sharing legal information at a cross-functional level to update legal developments relevant to the respective operation.
MIS
Keep the Management abreast of all Corporate and Circle legal updates and significant legal incidents affecting the Company through MIS.
Competencies:
The Candidate should
Be a graduate in Law with at least 15 years' experience of lawyering in a medium / top corporate/s, with substantive part in telecom sector.
Possess knowledge in various Corporate laws, including but not limited to contracts laws, property laws, telecom laws and regulations, consumer protection laws, competition laws, IBC, labour laws, intellectual property laws, arbitration laws, stamp laws, environmental laws, data protection laws, information technology laws, etc.
Have professional acumen in drafting of various legal documents, contracts of different kinds and nature, court pleadings, business and legal communications.
Dealing with Government Authorities, local bodies for property tax/ local taxes matters

Functional Experience:
10 - 15 years of experience (Telecom knowledge / background is an added advantage)
