Job Title: Company Secretary - Compliance and Regulatory Affairs
Job Overview:
We are seeking a highly skilled and experienced Company Secretary to join our team and oversee the secretarial compliance functions for both listed and private companies. The ideal candidate will have a comprehensive understanding of legal and regulatory requirements, particularly in the areas of LODR (Listing Obligations and Disclosure Requirements), LLPs (Limited Liability Partnerships), ROC (Registrar of Companies) forms, and various other statutory and regulatory frameworks. The role also involves handling routine tasks such as IEC (Import Export Code) and other registrations.
Responsibilities:
1. Secretarial Compliance Management:
- Ensure adherence to all applicable laws, regulations, and guidelines related to company secretarial matters.
- Manage and monitor compliance with LODR for listed companies, ensuring timely disclosures and submissions.
- Handle compliance for LLPs, overseeing documentation and filing requirements.
2. ROC Forms and Filings:
- Prepare and submit various ROC forms and filings in accordance with statutory timelines.
- Maintain updated knowledge of changes in regulatory requirements related to ROC filings.
3. Client Interaction:
- Meet with clients as needed to understand their specific compliance requirements and provide expert guidance.
- Address client queries and concerns, offering timely and accurate solutions.
4. IEC and Other Registrations:
- Manage the process of obtaining and renewing Import Export Code (IEC) and other relevant registrations.
- Stay informed about changes in registration procedures and requirements.
5. Documentation and Record Keeping:
- Maintain accurate and up-to-date documentation related to compliance activities.
- Ensure that all records are easily accessible for internal and external audits.
6. Advisory Role:
- Provide expert advice to internal stakeholders on legal and regulatory matters affecting the company.
- Stay abreast of industry trends and best practices to proactively address compliance challenges.
7. Risk Management:
- Identify potential compliance risks and develop strategies to mitigate them.
- Implement risk management protocols to ensure the company operates within legal boundaries.
Qualifications and Skills:
- Qualified Company Secretary with membership in ICSI (Institute of Company Secretaries of India).
- Proven experience in handling secretarial compliance for listed and private companies.
- In-depth knowledge of LODR, LLPs, ROC regulations, and other relevant statutory requirements.
- Strong communication and interpersonal skills for effective client interaction.
- Detail-oriented with excellent organizational and time management abilities.
- Ability to work independently and collaboratively within a team.
- Up-to-date knowledge of changes in relevant laws and regulations.
