Job description

1)To Support Group Company Secretary. Filing of all ROC Relevant and Regular forms like DIR 12, MR1 etc. for appointment of Directors, Auditors, etc. as per case and as mandatory.

2) Holding Board Meetings: Entire Process Before, During and After meeting like calling for board meeting, sending agenda, schedule of Meeting, drafting and circulation of Minutes etc.; alongwith all process of conducting the meeting in a relevant structured format.

3)Industry Specific duties Requirements:

a.Dealing in Flavours Ingredients there is requirement of filing Return for FSSAI once in a year with other responsibilities during the year.

b.As per business requirement for Import of Sensitive / Restricted Product: Relevant permissions, Applications, records etc.

c.As per business requirement for Import involving plastic packaging: EPR.

d.As we are registered under Free Trade Warehousing Zone, Filing of documents and reports in SEEPZ.

e.As per business requirement for Import, applying, filing for documents concerning Pvt. Bonded Warehouse, AEO Certifications, etc.

4)Conducting CSR Committee Meeting and recording CSR activities.

5) To comply to FEMA compliances as and when applicable.

6)Leave & License and Other Rental agreements online inhouse at office only.

7) Handling all notification or documents from RBI, for Singapore based Subsidiary of Company - currently closed.

8)Handling any Legal Notices or Litigation matters, as per event.

9)Public Search of companies as per need.

10)Coordination with Finance Team for Legal requirements and financial relevant data or queries, as per requirements.

11)As profile is relevant to Legal matters which includes statutory date and target dates; Time-bound actions are necessary as per need of hour, irrespective of timing.

12)Filing of records for Loans / Credit facilities availed from banks.

13)Drafting and or Validating Agency Agreements, Distribution Contracts, Code of Conducts, etc.

14)Any other assignments vested by the management from time-to-time.

15)Candidate with 2-3 years of experience preferred.
