Role Overview:

As a Company Secretary you will play a pivotal role in ensuring the organization's compliance with relevant laws, regulations, and financial standards. This position requires a thorough understanding of corporate governance, financial management, and legal frameworks. The Company Secretary will work closely with the finance team, senior management, and external stakeholders to uphold transparency, integrity, and legal adherence within the company.

Responsibilities:

Corporate Governance: ● Ensure compliance with statutory and regulatory requirements related to financial matters. ● Organize and manage board meetings, prepare agendas, and draft minutes. ● Advise the board on matters related to financial governance and legal obligations. ● ROC compliances and e-fillings.

Financial Management:

● Oversee and manage financial reporting processes, ensuring accuracy and compliance with accounting standards. ● Collaborate with the finance team to prepare financial statements, budgets, and forecasts. ● Monitor and report on financial performance to key stakeholders.

Legal Compliance:

● Stay updated on changes in financial regulations and legal requirements. ● Ensure the company's activities comply with financial laws and regulations. ● Work with external legal counsel as needed for specialized legal matters. ● Mergers and acquisitions compliances and fillings ● Agreement , drafting & vetting

Risk Management:

● Identify and assess financial risks, proposing strategies for risk mitigation. ● Implement and maintain internal controls to safeguard the organization's financial assets.

Communication and Documentation:

● Maintain accurate and up-to-date records of financial and legal documents. ● Communicate financial and legal information effectively to internal and external stakeholders.

Collaboration:

● Collaborate with cross-functional teams, especially finance, legal, and executive leadership. ● Serve as a liaison between the company and regulatory bodies, ensuring open communication.

Qualifications:

● Bachelor's degree in Finance, Accounting, Law, or a related field along with professional certifications as Company Secretary. ● Proven experience as a Company Secretary or in a similar role, preferably with a focus on accounts and finance. ● Strong knowledge of financial regulations, corporate governance, and accounting principles. ● Excellent communication and interpersonal skills. ● Detail-oriented with strong organizational and analytical abilities. ● Ability to work independently and as part of a team. ● Proficient in relevant software and tools.
