Job Overview
We are seeking an Assistant Company Secretary for a Hospitality Business. As an Assistant Company Secretary you will play a crucial role in ensuring compliance with legal and regulatory requirements while supporting the smooth operation of hospitality business. This role demands a candidate with a background in Company Secretarial practices equipped with strong organizational skills and a strong passion for the resorts and hotel sector.
Key Responsibilities:
- Collaborate with the Board of Directors and senior management on corporate governance matters
- Prepare agendas and papers for board meetings committees and annual general meetings (AGMs) take minutes and follow up on action points
- Ensure that the company complies with all relevant laws and regulations including the Companies Act and other statutory requirements.
- Assist in the preparation and filing of necessary legal documents and annual compliance statements.
- Coordinate and prepare board meeting materials ensuring compliance with statutory requirements.
- Maintain and update corporate records minutes and resolutions.
- Handle shareholder communication and correspondence effectively.
- Assist in organizing and managing shareholder meetings including annual general meetings.
- Manage and oversee the preparation and filing of statutory returns and reports with relevant authorities.
- Ensure the timely submission of all necessary documents and fees.
- Assist in reviewing and drafting contracts agreements and legal documents related to the resorts and hotel industry.
- Coordinate with legal counsel when required and maintain a contracts repository.
- Identify potential legal and compliance risks within the organization and propose solutions to mitigate them.
- Stay uptodate with legal developments in the industry and advise management accordingly.
Requirements:
- Bachelors Degree in Company Secretaryship (CS) or a combination of CS and LLB (Bachelor of Laws).
- Membership of the Institute of Company Secretaries of India (ICSI).
- Proven 35 years of experience of working in a similar role within the resorts hotel hospitality industry.
- Strong and Indepth knowledge of corporate governance legal compliance regulatory compliances
- Excellent communication and interpersonal skills.
- Attention to detail and a commitment to accuracy.
- Proactive creative problem solver with the ability to work independently and in a team.
- Ability to handle sensitive and confidential information with professionalism.
- Familiarity with relevant software and tools for company secretarial work.
- Ability to work independently and collaboratively within a team.
- Attention to detail and a high level of accuracy in work.
