Job Title: Manager/ Senior Manager - Legal
Education: LLB from a reputed Law College.
Experience: Minimum 5 years in-house legal experience
Location: Bangalore
Role:
a) Contract Management
(i) Drafting, reviewing, and negotiating agreements for critical business lines like (i) Business Correspondent (ii) Co-Lending Partnership for secured & unsecured loans (iii) Escrow Account opening (iv) PA/PG integrations (iv) Co-Branded card partnership (iv) Insurance marketing/corporate agency.
(ii) Drafting, reviewing, and negotiating agreements for vendors like (i) technology service providers/software license owners (ii) lead referrals agencies (iii) marketing agencies (iv) vault service providers (v) HR consultants/service providers/staffing solution providers (vi) celebrity management companies etc.
(iii) Drafting customer facing agreements for various secured and unsecured products including loan Tncs, sanction letters, application forms, pledge cards etc.
b) Compliance & Legal Advisory
(i) Products & processes advisory in compliance with RBI Guidelines including advice on new as well as product/process changes in view of RBI Regulations
(ii) General corporate legal advisory for various functions of the organization on matters such as HR issues, brand marketing, IPR management, fidelity and security issues while handling gold/company assets.
c) Regulatory Liasoning
(i) Analyzing audit observations by the Department of Supervision (RBI) and preparing/finalizing Company's responses and working with the regulator in clarifying Company's position on various observations. Responding to RBI/MeITy on ad-hoc queries on Company's business model and operations.
(ii) Drafting and following up application of licenses, seeking clarification on certain subjects, proactively engaging with RBI through industry bodies like Fintech Convergence Council.
d) Fund Raise
(i) Connecting with potential and existing investors for legal queries in equity transactions.
(ii) Leading legal due diligence and supporting closure of transaction documents (SHA/SSA)
(iii) Supporting debt raise/venture debt transactions in reviewing term sheet, credit facility agreements, deed of hypothecation etc.
