Job Description
Reporting to the CEO, managing a team of 2-3 lawyers, the role will encompass -
- Developing and implementing organization's secretarial and compliance processes and policies in line with statutory requirements to mitigate current as well as future risks.
- Ensuring compliance to the Ethics and compliance policy and ensure regular reporting.
- Ensuring organisational compliance to all applicable secretarial laws for India, Americas, Europe etc.
- Establishing a certification/affirmation mechanism for compliance.
- Ensuring Board meetings are held as per statutory provisions of law and prepare the agenda and maintain minutes for all Board meetings.
- Providing clarification on legal language or specifications.
- Act as a nodal point of contact for RBI and Ministry of Corporate Affairs and regulatory authorities
- Advising the management on their responsibilities as per the statutory norms in order to protect the interests / reputation of the CEO, Board and the organization.
- Ensuring timely and efficient communication to investors in order to have proper disclosures in line with good corporate governance practices.
- Compiling quarterly compliance report and ensure follow up for all areas of improvement identified for the company
- Undertake appointment for third party auditors and coordinate with all departments for timely closure of audits
- Maintaining current knowledge of alterations in legislation
- Handling of all Audits (i.e., Regulatory, Statutory, Internal, Offshore, etc.) related to the company.
- Handling all the secretarial functions of the company by arranging, managing and documentation of various statutory meetings. Ensuring that the Company is on track with the responsibilities under Company Laws by timely return filings and maintenance of statutory registers.
- Drafting, reviewing, negotiating, and settling legal and transactional documents & agreements
- Preparing Contracts /Agreements Providing solutions based on the regulations for all business requirements.
- Interacting with the statutory authorities for getting the necessary approvals related to new businesses.
- Advising on all legal and compliance matters related to the company.
- Developing effective relationship and engagement with internal & external stakeholders, international stake holders, clients including international clients, business associates and other function groups.
- Managing the team in the most effective and efficient manner.
The Successful Applicant
Ideally you are a qualified lawyer and a company secretary, with 10+ years of exoerience having handled both legal and secretarial work preferably with a manufacturing entity. You should have great communication and stakeholder management skills.
