What are the Key Deliverables in this role
Financial Outcomes
Ensure regulatory compliance of the Secretarial Function: Ensuring the compliances under Corporate Laws and Securities Laws for TCPL and its Indian subsidiary companies and overseeing for Indian Associate companies (including JV). Checking and ensuring compliances with the Amendments in Companies Law, various SEBI Regulations, and other corporate laws applicable to Tata Consumer Products Limited (TCPL) and its Indian group companies. Ensuring timely and smooth audit of Secretarial records- statutory as well as secretarial – without any qualification or adverse remarks.
Corporate Action and Merger & Acquisitions etc. Secretarial Compliance relating to Scheme of Arrangement Tata Coffee, Preferential Allotment and Support on any activities related to Mergers & Acquisitions, Restructuring, and other Corporate Actions. Potential Merger and Acquisitions. Corporate Action post Scheme becoming effective. Merger of subsidiary companies
Customer Service
Investors Servicing and Grievance Handling including IEPF and Legal cases : Updating TCPL website in accordance with various laws, as well as suggesting changes that can be made in line with better governance practices/ benchmarking of investors section with websites of other reputed Tata/ Non-Tata companies. Reviewing Investor Relations and grievance handling. Reviewing and handling legal cases and IEPF matters. Improving the reporting to the Board/ Stakeholders Relationship committee on Investors queries and other matters.
Internal Processes
Policy review, Board and Committee Meetings Management and timely updating the change in the regulatory framework.
Annual Report and General Meeting/Postal Ballots
Innovation and Learning
Insider Trading Regulation Compliance & Material Event Awareness: Deployment of Compliance Framework, digitalize it, Creating Awareness, and Ensure the Compliances. Conducting PIT compliances and training and awareness for employees/DPs. Keep the Code of Conduct for Insider Trading updated at all times. Ensure timely compliance for SDD maintenance.

What are the Critical success factors for the Role
Certified Company Secretary
Minimum 15 years of post-qualification business partnering experience.
Strong understanding of regulatory compliance, corporate actions for M& A, investor servicing, AR and GM /Postal Ballots handling , policy reviews and Insider Trading Regulation Compliance & Material Event Awareness
Strong influencing skills & ability to work with Senior Leaders across functions. What are the
