Job Purpose

To provide support in the Secretarial Function to ensure overall governance for DBIL.

Key Accountabilities

Key responsibility will be to assist the Company Secretary and team in convening the Board, Committee and General meetings and other related compliances.

Job Duties & responsibilities:

Assist the Secretarial team in:

· Preparation of draft Agenda and minutes for Board and its Committee Meetings. · Preparation of draft Agenda and minutes for the Management Committee of the Board. · Drafting of Annual report and Notices for General Meetings. · Assistance in convening the aforesaid Meetings from time to time. · Recording and maintaining Statutory Registers of the Bank from time to time. · Ensuring Compliance with ROC Annual e-filing and event-based filings. · Co-ordination with various stakeholders for collation of agenda papers for the Board, its Committees and Management Committee meetings. · Preparation of Database/ policies and procedures for the Secretariat function of the Bank. · Advising stakeholders on the procedures to be followed as per the Companies Act, 2013 and guidelines issued by the Reserve Bank of India from time to time. · Preparation and follow up of action points emanating from the Board and its Committee Meetings.

Required Experience:

1-2 years – preferably with a Bank or NBFC.

Education / Preferred Qualifications:

B.Com and Member of Institute of Company Secretaries of India.
