WE ARE LOOKING FORWe are looking for a detailed-oriented professional to collaborate with the deal team and reporting to the Head of M&A Finance in executing acquisition and disposals of companies and/or properties ensuring efficient execution in all finance related matters. SOME OF THE INTERESTING CHALLENGES AHEAD OF YOUPre-Closing: Deal analysis- Review the information available for the transaction. In direct collaboration with local Head of Finance and Tax, ensure correctness of financial and tax inputs included in the underwriting.   Acquisition: share deal/asset deal- Review the information pack provided by the seller, and preliminary identification of additional documentation required and attend regular calls (internal, commercial, legal) when appropriate. Financial and tax due diligence- Actively participate in the tender process and engagement of the Financial DD/Tax DD advisors according to P3 procurement policies, in collaboration with local Head of Finance and Head of Tax. - Preparation of a timeline for the DD processes and reports according to the general timeline provided for the transaction and collaboration on the preparation of DDs findings summary and calculation of monetary impact to the underwriting. Acquisition phase- Review of the SPA together with the legal team, concretely, the financial and tax matters, to ensure they have been properly covered and reflected. - In case an insurance will be put in place, review the financial and tax matters of the policy to ensure consistency and coverage. - Involvement in the accounting principles preparation and reviews to ensure completeness, clarity, and correctness. - To collaborate on the review/preparation of the purchase price calculation to be agreed before closing. Deal costs budget- To centralize, together with the local finance team, the deal costs budget to prepare the budget versus real analysis. Portfolio disposal- To collaborate with the deal team and local teams in the investment memorandum preparation. - Assistance on preparation of Data Room with information. - To assist on the coordination with local teams the Q&A process re financial and tax matters. Post-Closing: Finance Integration plan- Creates Finance Integration plan utilizing checklists for activity planning, to be agreed with the Local Head of Finance. - Assists on the plan execution. - Prepares monthly monitoring reports. PPA - To collaborate on liaising with the Group Reporting team and local Head of Finance to review all journals for cost of acquisition and exceptional M&A costs that affect the PP calculation and cooperate in the PPA finalization. Post-acquisition reviews- Supports any post acquisition reviews undertaken by Internal Audit. Other Role Objectives: To work closely with the local teams to deliver a non-disruptive integration of the Finance functions of acquired businesses. To understand the needs of Group / local Finance and help to manage transition into standardized structure, systems, processes and control environment. To provide regular updates to the M&A and Finance Leadership Team to cover all current acquisition / integration activity including current status, progress made against pre-acquisition / integration milestones, upcoming activities, decisions required, issues and risks.
