Job description
The OE-EN Group, is a consulting and service company operating along the renewable energy value chain. We have been connecting technology and financial markets on three continents for over two decades. Our fields of expertise are engineering, transaction management, TA (Technical Advisory) and high-level services, which are necessary for the realization of projects in renewable energies. We are currently moving more than 8 GW in our internal projects – from their development to grid connection along our core competencies.
Tasks
As an M&A Manager in the renewable energy sector, you will lead and oversee strategic transactions, including mergers, acquisitions, joint ventures, and partnerships. You will play a crucial role in identifying opportunities, conducting due diligence, financial modeling, and negotiation, contributing to the growth and success of our renewable energy portfolio.
Key Responsibilities:
Opportunity Identification:
- Identify potential targets and opportunities for mergers, acquisitions, and partnerships in the renewable energy sector.
- Stay informed about market trends, competitive landscape, and emerging technologies.
- Financial Analysis:
- Conduct comprehensive financial analysis, including valuation, pro forma financial modeling, and risk assessment.
- Evaluate the financial feasibility and potential returns of proposed transactions.
- Due Diligence:
- Lead due diligence efforts, coordinating with legal, financial, technical, and environmental experts.
- Identify and assess risks and opportunities associated with potential transactions.
- Transaction Structuring:
- Collaborate with legal and financial teams to structure transactions, including deal terms, financing, and post-closing arrangements.
- Develop and present business cases and investment proposals to senior management.
- Negotiation and Execution:
- Negotiate and finalize agreements with target companies, partners, or stakeholders.
- Ensure that all necessary regulatory approvals and permits are obtained.
- Integration Planning:
- Develop and execute integration plans for acquired assets or businesses to maximize synergies and operational efficiencies.
- Work closely with cross-functional teams to achieve integration objectives.
- Stakeholder Communication:
- Act as the primary point of contact for external parties, including target companies, financial institutions, and legal advisors.
- Communicate progress and updates to senior management and other stakeholders.
- Market and Industry Research:
- Stay informed about market dynamics, policy changes, and technological advancements in the renewable energy sector.
- Use market insights to inform M&A strategies.
Requirements
- Completed bachelor's or master’s degree in law or relevant professional experience in legal matters (qualification of attorney at law is considered a plus)
- + 5 years in the renewable energy sector as a Legal
- In depth knowledge of the Swiss Law
- Good understanding of and interest in contract law and business management contexts
- Minimum knowledge of C1 level English and German
- Well-structured, organized, and service-oriented way of working
- Quick comprehension and independent working
- Interest in working in an international and dynamic environment
