What we need:
The Corporate Legal Analyst is an established performer that manages and organizes information, conducts legal research, drafts documents and provides administrative assistance. This role provides comprehensive support to the corporate legal department and ensures the smooth functioning of corporate legal processes with the support of the Deputy General Counsel - Corporate. This role will provide an excellent opportunity to further develop project management skills, corporate legal knowledge, business judgment and drafting experience while working with a dynamic team of legal and business professionals.
What you’ll do:
- Assist in the management of the Company’s subsidiaries, including:
- Managing a database of records and corporate information for international and domestic subsidiaries.
- Assisting in the formation and dissolution of corporate entities.
- Drafting and reviewing organizational charts using the legal entity database software.
- Managing subsidiary minute books.
- Conducting periodic audits of the legal entity database to ensure records are accurate and updated.
- Responding to internal requests for subsidiary information.
- Working with colleagues across different domestic and international jurisdictions to maintain integrity of records.
- Support general legal operations across domestic and international subsidiaries through document management, including reviewing, filling out and organizing documents for signature.
- Assist with SEC reporting and disclosure obligations, specifically Section 16 reporting.
- Assist with corporate governance matters, including administrative preparation for annual shareholders' meeting, distribution of director & officer questionnaires and administration of corporate policies.
- Assist in the implementation of annual global anti-corruption and antitrust compliance trainings with the support of the Deputy General Counsel - Corporate.
- Provide legal support for other Company departments, such as treasury and tax, including maintaining documentation to respond to “know your customer” and beneficial ownership requests.
- Draft and revise legal documents, including intercompany agreements, board and shareholder resolutions, and corporate governance documents with the support of the Deputy General Counsel - Corporate.
- Conduct due diligence in corporate transactions, including mergers, acquisitions, and financings, with the support of the Deputy General Counsel – Corporate.
- Organize and manage due diligence documentation.
- Assist in maintenance of real estate records and contracts.
- Assist with compliance with regulatory requirements, which may include:
- Assisting business unit purchasing and sales departments with the Company’s sanctions screening tool.
- Monitoring and ensuring compliance with state and federal regulations.
- Preparing and filing necessary documents with regulatory authorities as needed.
- Assisting with the Company’s data privacy compliance program.
- Assist in negotiating and reviewing contracts.
- Conduct legal research on various corporate law matters.
- Summarize legal issues and provide recommendations.
- Work on projects and assignments both independently and as part of a large work team.
- Perform accurate analyses, conduct research, and draw meaningful conclusions about job/work-area impacts.
- Perform other duties as needed.
What you have:
- Bachelor’s degree in a related field.
- 2-4 years’ relevant experience OR equivalent combination of education and experience.
- Notary Public preferred.
- Paralegal certificate preferred.
- Experience with SEC and NYSE reporting requirements preferred.
- Experience with CSC Entity Management a plus.
