Legal Contract Specialist- Sherbrooke, QC Canada, ONSITE ONLY, Full time. Bilingual French/English required.
PASQAL designs and develops Quantum Processing Units and dedicated software tools. These innovative processors address applications which are out of the reach of the most powerful existing supercomputers, encompassing real-world challenges as well as fundamental science. As they are very low energy intensive, they will significantly contribute to reduce the carbon footprint of the computing industry.
PASQAL has partnerships with key users in the fields of energy, IT, finance, drug and chemical design, automotive. The maturity and potential of our technology and the quality of our scientific team has been rewarded several times at French, European and global levels.
As a Legal Contract Specialist, you will be part of the Canadian subsidiary team of PASQAL located in Sherbrooke, Quebec, Canada. In this location, we are building world-class quantum computers in one of the most advanced technological fields shaping the 21st century. This role will help to support our CEO and technical teams who make our quantum computers real in a safe, legal environment and with controlled risk.
Attached to our CEO of Canada, your mission will consist of managing administrative, legal and contract processes end to end, participating in negotiations if relevant, securing procedures and performing general administrative tasks as needed. You will work with the support of internal and external consultants, law firms and PASQAL group’s legal and finance teams.
Requirements:
- Draft, review, analyze, and revise contracts.
- Ensure consistency of contract terms with Company’s policies and goals.
- Proctor the Company’s interests by identifying business and legal risks, documenting areas of potential conflicts, developing solutions and mitigation strategies for key negotiation points, and escalating issues to management as appropriate.
- Partner with sales staff to understand upcoming contract needs for new deals and renewals.
- Provide advice on appropriate contract strategy and support or lead contract negotiations.
- Facilitate conversations with subject matter experts and other cross-functional departments in areas such as risk management, finance, and data privacy as part of contract negotiations.
- Maintain a knowledge base of key laws, legal processes and/or systems, and industry practices applicable to business contract administration.
- Assist and/or provide input into the formulation, development, and/or revision of operating policies, procedures, and strategies for Contract Lifecycle Management (CLM.)
- Contribute in various ways to optimize the operation and efficiency of the company legal procedures, including supporting or leading process improvement projects.
Specific Area Requirements:
Finance
- Manage Research Credit declaration
- Help to set up supplier contracts
- Manage reporting and audit requirements of public loans
- Manage corporate legal, including Quebec and federal legal requirements for foreign investment
- Define and manage time tracking procedure to comply with our grants / tax and immigration requirements
General Contract & Legal Administration
- Request small grants accessible to PASQAL (Quebec and Canada).
- Manage insurance contracts end to end
- Supervise customs procedures and help document origins of goods
- Leverage various internal and external contacts to ensure effective financial stewardship and responsive customer service.
- Support human resources with legal contracts
IT
- Manage legal and business practices to distribute cloud capabilities in the USA and Canada, among various business sectors (finance, pharma, defense, energy, mobility, high tech etc.)
- Identify constraints to apply to our activities and organization
- Help future certification processes
Commercial
- Support contract and negotiation for products, services and distribution
- Help internal teams to follow-up on contract engagements
- Support the pre-sales team with day to day contracting process and related governance approvals
- Work closely with the sales team on converting the informal contracts documents (e.g., Scoping artifacts) to formal Statements of Work (SOW) documents
Research and Development
- Support contracts edition and negotiation for collaborative projects with academic partners
- Manage the legal part of grant applications processes (MITACS, Alliance, etc.)
- Review all Standard Operating Procedures for content and format and ensure that they are current and comply with recent policies.
The work will be mainly based in Sherbrooke (Quebec, Canada) in the heart of the quantum innovation zone of Quebec. The role is eligible for hybrid remote/in-person mechanism.
About you
- 5+ years professional work experience in a legal business contract management and/or corporate & regulatory affairs position ideally in a high-tech industrial sector
- Experience managing sourcing and contracting initiatives from conception to completion.
- Strong knowledge and practical application of Canada and Quebec contract and acquisition laws and regulations
- English: Full professional proficiency is essential (written and oral). French as a second language required.
- Advanced skills with MS Office (Excel, Word, PowerPoint, etc.) Excel skills to include pivot tables, setting up spreadsheets, multiple tabs, basic formulas, data entry, adding/deleting rows, columns, areas etc.
- Strong organizational and time-management skills
- A positive, “can-do” attitude.
- Strong attention to detail a must in a fast paced environment
- Able to demonstrate critical thinking and analysis skills for analysis of contracting data, trends, recommendations for corrective action etc.
- Team player, versatile, organized, pro-active, autonomous and creative, able to find pragmatic and efficient solutions.
BONUS POINTS FOR: - Knowledge of USA contract and/or Corporate and Regulatory affair / legal practices
- Experience in scientific equipment manufacturing or deep tech
- Experience working in a startup environment
- Pre and post award grants management experience
- Paralegal certification
- Experience working in Salesforce.com and a Contract Lifecycle Management (CLM) system a plus
