ASSISTANT REGION COUNSEL

We are looking to hire an Assistant Region Counsel for the Northwest Region which comprises the four western provinces as well as Washington and Oregon State. The position will be based out of the Calgary, Alberta office, and will report directly to the Associate General Counsel – Northwest Region.


The Assistant Region Counsel will be a key member of the company’s law department and have regular exposure to business leaders across the Northwest Region, specifically, and North America, generally. The Assistant Region Counsel will support the Associate General Counsel for the Northwest Region in managing the significant and varied legal needs of the region, including, but not limited to, in the areas of contracts, real estate, litigation, procurement, sales, logistics, operations, construction, mergers and acquisitions, employment, health and safety, environmental, and safety.

RESPONSIBILITIES:
> Provide timely advice and counsel to internal clients in various legal topics (contracts, employment, real property, etc.)
> Draft and review various contracts (including but not limited to purchase and sales agreements, purchase orders, service agreements, rental agreements, confidentiality agreements, leases and terms and conditions), and negotiating with counterparties in connection therewith
> Research and analyze legal issues and write summaries/memos for submission to Associate General Counsel, Northwest Region
> Assist in gathering docs. and info. in response to subpoenas and litigation discovery requests
> Assist in developing company policies, procedures, and guidelines on legal issues
> Assist in analyzing and resolving legal disputes with various parties
> Research, anticipate, and mitigate legal risks regarding business decisions and operations
> Prepare summaries of the status of litigation and other legal matters
> Conduct internal investigations, as necessary
> Provide in-house legal training on various legal topics, with an emphasis on competition law compliance
> Occasional travel within western Canada, Washington state and Dallas, Texas.



QUALIFICATIONS:
> Ideally two to five years of relevant legal experience working at a well-regarded law firm and/or in-house with a corporate legal department.
> Experience in contracts and commercial law is preferred.
> Degree from an accredited law school.
> Admitted to and in good standing with the Law Society of Alberta.
> Ability to work independently, but also the willingness to ask questions and thoroughly discuss matters.
> Strong interpersonal and communication skills.
> Good negotiation skills with the ability to keep complex legal situations simple and clear, while striving to find a mutually agreeable outcome in an efficient, but risk-conscious manner.
> Ability to quickly learn and grasp the legal significance of new and unfamiliar issues.
> Capable of prioritizing and juggling multiple tasks in a fast-paced business environment in order to provide prompt legal support to business operations.
> A willingness to be flexible and proactive in solving complex problems.
> Desire to learn about business operations and other corporate departments and to become a trusted advisor to internal clients.
> Demonstration to clients of a strong work ethic, good judgment, and the ability to provide solid legal advice.
