This is a remote position.

Our client is looking for a local resident director no experience required as long as you are a locally licensed attorney or accountant!

What is a Local Resident Director

A local resident director is there to help a foreign owned company in your local country to manage certain local affairs to fulfill corporate responsibilities. This type of role is strictly nonexecutive and exists solely to satisfy a countrys legal and regulatory requirements. The local resident director needs to comply with the local laws and regulations on serving as a director but no operational obligations and responsibilities.

Duties of This Role

Duties will depend on a company s needs and available resources in the country. Duties may include the following:

• Act in good faith and with all honesty on behalf of the company s best interest
  
• Convene any mandatory annual meetings and file the annual returns to the extent required by the local law
  
• Maintain record of the Statutory Registers to the extent required by the local law
  
• Assist with opening a local bank account
  
• The term for a Resident director provided through our service is set at half a year or one year. The appointed Resident director will need to assist us in establishing the Companys bank account and be responsible for the daily compliance tasks. You will have authority to check the companys business situation at any time but will not partake in the daily operations of the business. Should you opt for this service we will circulate the companys basic details to you and provide client with your resumes for review.
  

Risk Mitigation

In order to ensure utmost compliance and lower potential risks for both our local resident directors and clients our client has established the following requirements in order to accept a local resident directorship service request:

A. Our clients business must be clear and compliant

B. All local resident directors must pass a background check (as allowed by local law)

C. Our client must issue indemnification as well as the local resident director as part of the appointment

D. The local resident director will act based on the local law in terms of voting but the client will have the control of the board

E. Our client will engage a local attorney to ensure contract between client and the local resident director includes terms for local formalities that clearly address requirements responsibility and liability of each party per local laws and regulations

Time Commitment

This is a contract opportunity to earn . Hours available are based on number of client orders and projects but in general much less than 5 hours a month with the exception of the onboarding.

Requirements

Qualifications

• Over 3 years of experience in any professional fields such as law accounting or tax
  
• Willing to learn the local rules and regulations on a local resident director
  
• Must pass background check
  
• Preferably local licensed attorney or accountant
  
• Must reside in Canada
