Main purpose of position
Currently we are looking for a Legal advisor in São Paulo, Brazil to be part of our global team working together towards our vision – Improving our future. As our Legal advisor you will provide legal support on all legal aspect of the business, including but not limited to (i) Project acquisitions (ii) Project Finance Transactions (iii) the financial closure of Projects (iv) asset management of Projects post financial close (v) general contract management.
M ain responsibilities
- Project Acquisitions : Provide non-disclosure agreements, Assist with due diligence of the developers/sellers and any potential partners, Provide draft letter of intent outlining the suggested structure for acquisition and securing EPC + O&M rights, Provide draft/advise on projects acquisition agreements, joint development agreements and/or management services agreements, Coordinate with local counsel on local legislative and legal framework and facilitate implementation of the acquisition agreements
- Project Finance Transactions: Provide drafts, advise on and negotiate project documents and finance agreements, provide draft EPC, O&M and asset management agreements, provide support to achieve financial closure of Projects, Manage external legal recourses both from a work product and cost perspective (Lender Legal and Project Legal)
- Corporate Governance: Assist with general company administration and statutory record keeping requirements, assist with preparation of policy documentation for the Scatec group and, in particular, to provide training and on-going guidance in relation to the anti-corruption policies of the Scatec group
- Support of the Asset Management organisation: Assist with preparation of board resolutions and minutes, provide on-going support in terms of contract management for Projects in operation, Assist with any contractual claims or legal disputes that arise, Provide any other general legal services which may be required
- General Legal Services: Provide advice in respect of all legal aspects of the business, assist with review of all legal documents pertaining to operation of the business (including lease agreements, service agreements, supply agreements and general terms and conditions of contract counterparties)
Qualifications and competencies
- Bachelor’s/ Master’s Degree in Law
- Minimum 5 to 7 years’ relevant work experience – either law firm or in-house counsel or advisor
- 5+ years of post-legal qualification in a commercial/projects team and 2-3 years of in-house legal experience
- Excellent/Proficient English and Portugues skills, both written and verbal. Additional languages considered an advantage.
- Experience and/or interest in the following areas: Renewable energy, Oil/gas, Project development, Public procurement
- FIDIC suite of contracts
- Previous experience at: Contract Management, Due Diligence, Legal Financing, Compliance, Risk Management, Negotiation is a differential.
