• Basic or intermediate on other technical competencies

Qualification and Background:

• Typically, a University degree in Law, Legal , Engineering or relevant business area, ideally with a post-graduate qualification in a complementary area

• Ideally a professional qualification (or working towards) in Procurement, Legal, Surveying or other relevant profession.

• Knowledge & understanding of procurement processes including ethical principles; bidder prequalification; invitation to tender; comparative

evaluation of contractors; & award, claims management, administration, amendment & close out of contracts

• At least 10+ years practical experience in preparation, negotiation and administration of complex projects contracts, preferably in the offshore oil

• General knowledge & understanding of the technologies utilised by oil and gas operators and packages like SURF, Topsides and FPSO´s in general.

• Demonstrable professional knowledge & understanding of commercial, legal and insurance issues affecting the Company in general, & “in depth”

understanding where relevant to contracts for works, goods & services.

• Demonstrable experience in drafting & administration of EPC, EPIC, & EPSCC type contracts.

• Good knowledge & understanding of different means of contractor remuneration & their commercial implications, practical experience of their use, &

sound ability to select & draft appropriate provisions.

• General knowledge & understanding of Company’s business functions, with “in depth” understanding of the Contracts function & how it adds value,

and a commitment to deliver added value

• Proficient in English. Fluent in Portuguese.

• Ability to work in a Project environment and go above and beyond to deliver the project deadlines

The job holder main activities are:

- Supervise the establishment of the FEED, EPCSS, EPCI, EPFS, LOF, L&O and various minor contracts, directly participate to the most complex

contracts.

- Validate or ensure validation of all the all contractual documents and formal letters issues by the contracts.

- Define contracting strategy with ‘Duet’ counterpart in to serve & protect Company’s best commercial interest.

- Propose, pre-qualify & recommend suitable contractors/suppliers for bid lists to maximise tendering efficiency

- Compile issue and administer ‘Invitation to Tender’ packages to procure the most realistic and commercially attractive proposals from potential

contractors/suppliers. (This includes reviewing and compiling the technical part of the ITT package based on input received from Technician &

providing commercially relevant advice)

- Draft appropriate contractual and commercial terms & conditions to best serve & protect Company’s interests

- Review bids, participate in contractual & commercial clarifications & negotiations, prepare all the associated documents such as presentations,

minutes of meetings, contractual & commercial qualifications log, draft Recommendation to Award, finalize the Contract, administer the award of

contracts, change/variation orders, contract amendments, claims and all associated correspondence.

- Review and consider legal aspects associated with contract award & administration, liaising with the Legal Department, providing advice to clients

as appropriate & assisting as appropriate in settlement of law suits

- File contractual documentation and correspondence in a logical, organized and auditable manner.

- Ensure all proper contractual certificates, bonds, guarantees and insurance required under contract portfolio are in place on time.

- Prepare various contractual certificates (i.e. Milestone Certificates, Provisional Acceptance Certificate, Final Acceptance Certificate), which are

required to be issued by Company to Contractor in accordance to the contract.

- Review Change Order Requests, draft Change Order Instructions, negotiate and administer change orders initiated by Company or Contractor and

contract amendments

- Participate in weekly meetings with suppliers/contractors providing general assistance and advice on contractual and procurement matters as

required to support the project’s activities.

- Provide input to cost with potential changes and actual changes throughout the project

- Perform contractual activities using tools such as SAP, e-Sourcing, Agora, etc.

- Embedding a culture of continuous improvement with responsibility for ensuring the sharing of lessons learned and best practice

- Perform all contracting activities in compliance with Company policies & procedures and Brazilian legislation

- Facilitate any meetings required to conduct the activities of the job

The Job holder manages the Compliance

- Verify that company’s Contractual and Purchasing Policies and applicable laws and regulations are adhered to, especially related to ethic and

transparency.

- Verify that procurement documents and procedures comply with the standards of the company and the agreements with the partners

- Ensure the application and respect of the procedures in the tender process.

- Ensure the application of TEPBR General Terms and Conditions for purchase of equipments especially as it concerns complex, high value,

- high risk equipment.

The Job holder adheres to the H3SE rules

- The employee shall perform his/her activities in compliance with the HSE Management System, aligned with One Maestro Principles and

- oriented to safeguard the integrity of people, the environment and Company’s assets and reputation.

- Set a personal example in adherence to TEPBR HSE procedures.

- Raise awareness and provide guidance in directing employees under their supervision with regard to the execution of the HSE rules, both for

Company Staff and suppliers without detracting from Contractor's legal obligations.

- Assure themselves and the persons under their supervision of the safety of the workplace to avoid danger to persons, installations and avoid impact

to the environment.

- Maintain the means for personal protection and safety emergency procedures.

- Conduct regular inspections and report any incidents (Anomaly, unsafe acts, near miss, damage, spill, injury, etc...).

- Notify relevant staff on accidents, incidents and near-misses and initiating corrective actions.

Newly Producing subsidiary with exploration/appraisal/development phases on operated assets. Projects are predominately on LAPA

(Production, Projects & Appraisal Drilling) and CM 541 (exploration drilling with potential to progress to appraisal drilling)

The job holder works in a multidisciplinary contracts environment (exploration, drilling, development, work in sea and land) in an international

environment and in a strong local content environment all at once.

Lack or untimely delivery of materials or services whatever its value may have important production and financial consequences
